Terms (B2B)

⚠ Draft — summary of general terms, to be reviewed by a lawyer. Every project is governed by a specific written agreement, which prevails over this page.

Last updated: [dd/mm/yyyy]. Provider: Barbara Cavallaro, [Address], Catania (CT), Italy — VAT no. [to be added].

1. Business clients only

Services are offered exclusively to businesses, professionals and agencies acting for business purposes (B2B), not to consumers.

2. Scope

Deliverables, platform, languages, integrations, timeline and the number of revision rounds are defined in a written proposal based on your brief. Anything not listed is out of scope and can be quoted separately as a change request.

3. Quotes and payment

Each project is quoted individually after the brief. Payment terms (including any deposit) are set out in the proposal [e.g. deposit before kick-off, balance before go-live].

4. Timing and client materials

Timelines start once the agreed materials and any deposit are received. Delays in providing content or feedback move the delivery date accordingly. You warrant that you hold the rights to the materials you provide (texts, images, trademarks, claims) and that they comply with applicable law.

5. Intellectual property

Usage rights to the final deliverables are transferred to you in writing once the project is paid in full, within the limits stated in the agreement. Pre-existing tools, reusable components, know-how and third-party assets (fonts, libraries, stock) remain subject to their own licences. Unless otherwise agreed, I may show the work in my portfolio.

6. No guaranteed results

I work to maximise performance, but results such as conversions and leads depend on factors outside my control (traffic, offer, market, budget). No specific result is guaranteed.

7. Data protection

When a page I build collects personal data on your behalf, you are the controller and, where applicable, I act as processor under a data processing agreement (Art. 28 GDPR) attached to the contract.

8. Liability

[Limitation of liability clause — to be drafted with a lawyer]

9. Governing law and jurisdiction

Italian law applies. [Competent court: Catania — to be confirmed, including for clients outside Italy].
